May 2017 Newsletter IS MY ORAL CONTRACT BINDING AND ENFORCEABLE? Generally, oral contracts (although not advisable) are binding and enforceable.... Exceptions to this general rule, however, are found in California Civil Code section 1624, known as the Statute of Frauds. The Statute of Frauds requires a written contract in at least the following situations: An agreement that is not to be performed within a year from its making; An agreement to pay another's debt (with limited exceptions); An agreement for leasing real property with a term of one or more years; An agreement for the sale of real property; Various agreements in connection with employing someone to purchase, sell or lease real property; An agreement that is not to be performed during the promisor's lifetime; An agreement to "pay off" a mortgage or deed of trust upon a newly purchased property; and Certain agreements in connection a lender's loaning of $100,000.00 or more. With that said, there are also exceptions to the Statute of Frauds. These include the enforcement of oral contracts when: (1) one party to the oral agreement has complied with the agreement's terms; and (2) there was detrimental reliance by one party on the other party's promise. Despite these exceptions, it is preferable to reduce contracts to writing to avoid ambiguity as to contract terms and to aid in potential enforcement of the contract's terms in case of a dispute between the parties.
