Alert: New Developments in California Law Regarding Restraint of Trade and California Business & Professions Code, 16600 This code says that [e]very contract by which anyone is restrained from engaging in a lawful profession, trade or business of any kind is to that extent void. Back in 2008, the CA Supreme Court decided that this code rejected the common law "rule of reasonableness" and appeared to rule that ALL contracts (other than those excepted by statute) restraini...ng trade were invalid per seno matter how reasonable they appeared to be. In a NEW ruling in August 2020, the CA Supreme Court retreated from its earlier absolute view and held that a "rule of reasonableness" DOES apply to contractual restraints on business operations and commercial dealings. Now, business agreements (e.g. partnerships, exclusivity contracts, supply contracts, franchise agreements, output contracts) will NOT conflict with California law because they restrain trade in some manner.
