Here is a sad case. Guy buys a boat which turns out to be defective. Boat company says sure, we'll take the boat back, we'll pay off the loan on the boat, and we'll even give you 65k. BUT WAIT! The bank says, give us the boat back, we'll pay off the bank first, once the bank says everything is okay and releases their lien, we'll pay you the 65k. Shouldn't take more than 15 days. 8 days later and the guy was paid his 65k. Sad story right?... The rule in bankruptcy is if you pay someone money 90 days before you file, the Trustee can ask for that money back. There are some defenses and one of them is called contemporaneous exchange. The way it works is if you give something like a boat to someone and they pay you 65k, assuming that exchange is fair, you have a defense. Yes, I got 65k but I gave him a boat. The defense only works if the exchange is contemporaneous or "at the same time". I am not going to talk about what contemporaneous means but in this case, the guy said, "sure, pay the bank, then pay me." The 8th Circuit said this is not contemporaneous because it was, by design, meant to be a delayed payment -- first to the bank, then to the man. Guy had to give the 65k back. There are ways to draft around this stuff but that's for another day.
